These Terms of Service govern access to and use of the Sentinel CX Pro application by authorized users, administrators, customer organizations, and any individual granted credentials under a valid commercial arrangement with Sentinel CX Pro LLC.
1. Business Use Only
Sentinel CX Pro is a business-to-business software service intended for commercial and organizational use. Access is limited to individuals authorized by a customer organization or Sentinel CX Pro LLC. The service is not intended for personal, family, or household use.
2. Account Responsibility
Users must provide accurate account information, maintain credential confidentiality, use multi-factor authentication where required, and promptly report suspected compromise to security@sentinelcxpro.com. Customer administrators are responsible for assigning, removing, and supervising access within their organization. Sentinel CX Pro LLC is not liable for unauthorized access resulting from a user's failure to safeguard credentials.
3. Acceptable Use
Users may not misuse the service, attempt unauthorized access, interfere with system integrity, reverse engineer restricted components except where prohibited by applicable law, submit unlawful or infringing content, or use the platform to generate deceptive, defamatory, fraudulent, harassing, or non-compliant communications. Users may not use the service to:
- Generate or distribute content that violates any applicable law, regulation, or third-party right.
- Circumvent, disable, or interfere with security features, access controls, or rate limits.
- Scrape, extract, or harvest data from the service for purposes not authorized under the applicable commercial agreement.
- Impersonate another individual or entity, or misrepresent affiliation with any person or organization.
- Use artificial intelligence features to produce outputs intended to deceive consumers, fabricate reviews, or misrepresent the nature or origin of content.
4. Artificial Intelligence Features and Transparency
Certain features use artificial intelligence to generate draft text, summaries, classifications, analysis, or workflow recommendations. For the purposes of these Terms, artificial intelligence means computational systems designed to produce outputs such as text, analysis, or recommendations based on data and model logic.
Outputs are assistive only, may contain errors or inaccuracies, and require human review before use. Users remain responsible for all content they publish, approve, or rely upon, including any content generated with the assistance of artificial intelligence features.
Where the application produces artificial intelligence generated content, it is identified as AI-assisted within the interface. Users must not remove, obscure, or misrepresent artificial intelligence disclosure labels when publishing or distributing AI-assisted content externally. This obligation applies regardless of whether users are subject to the EU AI Act (Regulation 2024/1689), the Colorado AI Act (SB 24-205), or other applicable artificial intelligence transparency laws.
Sentinel CX Pro LLC does not guarantee that artificial intelligence outputs are accurate, complete, unbiased, or suitable for any particular purpose. Users are solely responsible for verifying the accuracy, legality, and appropriateness of any AI-assisted content before publication or distribution.
5. Intellectual Property
The service, including its design, code, features, documentation, and proprietary methods, is owned by or licensed to Sentinel CX Pro LLC and protected by intellectual property laws. Nothing in these Terms transfers ownership of any Sentinel CX Pro LLC intellectual property to any user or customer organization.
If you believe that content available through the service infringes your copyright, you may submit a notice to legal@sentinelcxpro.com with information sufficient to identify the allegedly infringing material and the copyrighted work at issue.
6. Customer Data
As between the parties, customer organizations retain their rights in customer data they submit or make available through the service, subject to the rights necessary for Sentinel CX Pro LLC to provide, maintain, secure, and improve the service in accordance with law and contract. Sentinel CX Pro LLC will process customer data in accordance with the applicable Privacy Policy and, where executed, applicable data processing terms.
7. Security and Access Controls
Sentinel CX Pro LLC may monitor, log, suspend, restrict, or terminate access where reasonably necessary to protect the service, investigate misuse, respond to security concerns, or comply with law. Users acknowledge that no online service is completely risk-free.
8. Confidentiality
Public login-linked legal pages do not disclose sensitive technical implementation details, internal infrastructure design, or operational security methods. Users must not disclose confidential non-public information learned through the service except as authorized under the applicable commercial agreement.
9. Third-Party Services
The service may rely on third-party providers for infrastructure, security, communications, and related operations. Sentinel CX Pro LLC is not responsible for independent third-party sites or services outside its control and does not endorse or guarantee the availability, accuracy, or security of any third-party service.
10. Warranties Disclaimer
To the fullest extent permitted by law, the service is provided on an "as is" and "as available" basis. Sentinel CX Pro LLC disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement, except to the extent such disclaimers are not permitted by applicable law. Without limiting the foregoing, Sentinel CX Pro LLC does not warrant that the service will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the fullest extent permitted by law, Sentinel CX Pro LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption arising from or related to the service. Aggregate liability will be limited to the amount paid by the customer organization for the service giving rise to the claim in the twelve months before the event, unless a written enterprise agreement provides otherwise.
12. Indemnification
Users and customer organizations agree to indemnify, defend, and hold harmless Sentinel CX Pro LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from or related to: (a) violation of these Terms; (b) misuse of the service; (c) content submitted or published through the service by the user or customer organization; or (d) violation of any applicable law or third-party right. This obligation survives termination of the relationship.
13. Suspension and Termination
Sentinel CX Pro LLC may suspend or terminate access for breach, security risk, legal necessity, or account inactivity under applicable contract terms. Customer organizations may deactivate user accounts through administrator controls or support channels. Upon termination, Sentinel CX Pro LLC will make customer data available for export for a commercially reasonable period as specified in the applicable commercial agreement, after which data may be deleted.
14. Dispute Resolution
The parties will attempt to resolve any dispute arising under these Terms through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration or litigation as set forth below. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
15. Governing Law
Unless a signed enterprise agreement states otherwise, these Terms of Service are governed by the laws of the State of Texas, without regard to conflict of laws rules. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Texas.
16. Changes to These Terms
Sentinel CX Pro LLC may update these Terms from time to time. Material changes will be communicated through the application or by other appropriate means before the updated terms take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
